Seller Commercial Agreement & Pricing Rules

Commercial structuring, settlements, statutory deductions, and inventory controls for onboarded sellers.

This Agreement governs the commercial relationship between Parveen Kumar, doing business as AnythingKart, and the onboarded seller (“Seller”). By listing products on the Platform, the Seller accepts these terms in full.

1. Commercial Structuring

Catalogue onboarding supports two commercial models:

  1. Percentage Commission: AnythingKart retains a marketplace commission of up to 20% on retail values configured by the Seller for its listed brands.
  2. Fixed Payout Rate: the Seller locks an absolute fixed net payout (e.g., ₹800 net per unit); AnythingKart may dynamically compute, display, and retain any retail markup above that threshold on the customer application.

2. Settlement Intervals

  • Prepaid fulfilments: cleared on a rolling 7-business-day cycle.
  • COD routes: settled through a 15-day or consolidated monthly reconciliation ledger pipeline.

3. Statutory Tax Deductions

Prior to payout via Cashfree / JusPay Split APIs, the system automatically deducts 1% TCS (Tax Collected at Source under GST) and 1% TDS (under Section 194-O of the Income-tax Act, 1961), as applicable. Sellers are responsible for their own GST registration and filings.

4. Inventory Controls

Sellers may update active quantities up to 100 units directly. Extreme additions, reductions, or pause requests must route through the dashboard “Request Engine” to preserve system stability. Stock below 5 units triggers localised out-of-stock reservation buffers to prevent over-selling during live checkout.

5. Limitation of Liability & Indemnity

AnythingKart’s liability to the Seller is limited to amounts payable under the settlement ledger for the relevant cycle. The Seller shall indemnify AnythingKart against all claims arising from product defects, intellectual-property infringement, mislabelling, regulatory non-compliance, or breach of this Agreement.

6. Governing Law

Governed by the laws of India, with exclusive jurisdiction at the courts of Hisar / Bhiwani, Haryana.
